1. Introduction
Welcome to Onefy AI. These Terms and Conditions ("Terms") govern your use of Onefy AI's software-as-a-service platform and related services (collectively, the "Services") provided by Onefy AI Solutions LLC ("Onefy AI", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Definitions
2.1 "User", "you", or "your" refers to the individual or entity that has agreed to use the Services.
2.2 "Content" means any information, data, text, software, music, sound, photographs, graphics, videos, messages, or other materials.
2.3 "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.

3. Services Description
3.1 Onefy AI provides an integrated AI service platform designed to empower small and medium-sized enterprises with AI-driven marketing services, website and e-commerce tools, sales services, and operational efficiency solutions. Our services include, but are not limited to:

Magic Marketing Proposals
Smart Funnels
AI Chatbot Space
Smart Websites
CRM Space
Hyperrealistic Images Maker
Motion Maker
AI Voice Over Maker
Magic SEO Intros
Magic Benefit Stacks
3.2 The specific features and functionalities of the Services may be modified, updated, or discontinued at Onefy AI's discretion.

4. User Accounts and Subscription Plans
4.1 To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.2 Onefy AI offers three subscription plans:
Starter Plan (Free): Provides access to basic features and tools with an option to unlock additional apps.
Onefy Boost Plan ($59/month): Offers full access to all apps, including the AI Business Builder.
NextGen Plan ($299/month + custom pricing): Designed for marketing agencies and high-growth businesses, includes custom app development and personalized mentorship.
4.3 You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.

5. Payment Terms
5.1 For paid subscription plans, you agree to pay Onefy AI the fees indicated for such Services. All fees are exclusive of applicable taxes, which you are responsible for paying.
5.2 Payments will be charged on a pre-pay basis and will cover the use of that service for a monthly or annual subscription period as indicated.
5.3 You agree that Onefy AI may charge your payment method for any paid services or subscription fees. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms.

6. Free Trial, Cancellation, and Refunds
6.1 Free Trial: If you are enrolled in a free trial, you must contact us at least 24 hours before your free trial period ends by submitting a cancellation request to [email protected] if you do not wish to continue your subscription.
6.2 Automatic Subscription: If you do not cancel before your free trial ends, your subscription will automatically continue, and the payment card you provided will be charged the full monthly membership subscription rate each month until you cancel.
6.3 Rate Changes: Onefy AI can change the monthly membership subscription rate at any time. We will notify you by email of any rate changes and provide an opportunity to cancel.
6.4 Cancellation Process: To cancel your subscription after the first 30 days, you may do so directly in the Onefy AI platform or by emailing [email protected]. For monthly subscriptions, we require at least ten (10) days' notice of cancellation by email.
6.5 Refunds and Prorations: You will not be entitled to prorate your last month's use or receive any refund for payments made to Onefy AI. Onefy AI, at its sole discretion, may charge a cancellation fee equal to the amount the subscription was discounted.
6.6 First Subscription Period: The above cancellation and refund policies apply to all subscription periods except the first.

7. User Responsibilities and Conduct
7.1 You agree to use the Services only for purposes that are legal, proper, and in accordance with these Terms and any applicable laws or regulations.
7.2 You shall not:
a) Use the Services in any manner that could damage, disable, overburden, or impair Onefy AI's servers or networks.
b) Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to Onefy AI.
c) Use any robot, spider, or other automated device or process to access the Services for any purpose.
d) Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material.
e) Use the Services to infringe the Intellectual Property Rights of others.

8. Intellectual Property
8.1 The Services and their original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Onefy AI and its licensors.
8.2 The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Onefy AI.

9. User Content
9.1 You retain all your ownership rights in your Content. By uploading Content to the Services, you grant Onefy AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute it in any media.
9.2 You represent and warrant that you own or have the necessary rights to use and authorize Onefy AI to use all Intellectual Property Rights in and to any Content.

10. Privacy
10.1 Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you.

11. Termination
11.1 Onefy AI may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
11.2 You may terminate these Terms at any time by discontinuing use of the Services and closing your account, subject to the cancellation terms outlined in Section 6.

12. Limitation of Liability
12.1 In no event shall Onefy AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
a) Your access to or use of or inability to access or use the Services;
b) Any conduct or content of any third party on the Services;
c) Any content obtained from the Services; and
d) Unauthorized access, use or alteration of your transmissions or content.

13. Disclaimer
13.1 Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied.
13.2 Onefy AI does not warrant that:
a) The Services will function uninterrupted, secure or available at any particular time or location;
b) Any errors or defects will be corrected;
c) The Services are free of viruses or other harmful components;
d) The results of using the Services will meet your requirements.

14. Governing Law
14.1 These Terms shall be governed and construed in accordance with the laws of New York, United States, without regard to its conflict of law provisions.

15. Changes to Terms
15.1 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page.
15.2 By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
